These Terms of Service (“Terms”) govern your use of the Approvegate website at approvegate.io, the Approvegate application, the Approvegate API, and the Approvegate GitHub Action (together, the “Service”). The Service is provided by Approvegate (“we”, “us”). Approvegate is operated by its founder as a sole proprietorship based in the United States. By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree to them on its behalf and confirm you have authority to do so; “you” then means that organization.
Approvegate is a deploy gate and change-management tool. A step in your CI/CD pipeline asks the Service whether a deploy has a valid approval, and the Service records the result, approvals, overrides and policy changes in an audit log you can export as evidence.
The Service is a tool to help you run your own change-management controls. It does not make your organization compliant with SOC 2 or any other framework, and it is not a substitute for your own judgment, your auditor, or legal advice. You decide how to configure policies, approvers, shadow or enforcing mode, and emergency overrides, and you are responsible for the outcome of those choices.
You keep all rights to the data you and your pipelines put into the Service, including release requests, approvals, deploy metadata, and audit records (“Customer Data”). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service. We handle personal information as described in our Privacy Policy.
You are responsible for having the right to send Customer Data to the Service. Do not send source code, secrets, credentials, or sensitive personal information (such as health or payment card data) in fields like change descriptions, reasons, or ticket references; the Service is not designed to protect that kind of information.
You can export audit evidence while your workspace is active. After your workspace is closed, we delete or anonymize Customer Data within 90 days, so export anything you need to keep before closing it.
You agree not to:
If you find a security vulnerability, please report it to [email protected] and give us reasonable time to fix it before disclosing it.
We work to keep the Service available but do not offer an uptime commitment or service level agreement. The Service may be unavailable during maintenance or outages. The GitHub Action lets you choose what happens to a deploy when the Service cannot be reached (fail or allow and mark the deploy unverified); you are responsible for that choice. We may change, add or remove features. If we remove a feature that is material to a paid plan, we will tell you in advance.
We own the Service, including its software, design and branding. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing; they do not transfer any ownership. If you send us suggestions or feedback, we may use them without any obligation to you.
You may stop using the Service and close your workspace at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that creates security or legal risk for us or others. Where reasonable, we will notify you first and give you a chance to fix the problem and export your data. Sections 4, 7, 9, 10, 11 and 12 survive termination.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL BLOCK EVERY UNAPPROVED DEPLOY OR ALLOW EVERY APPROVED ONE, OR THAT EVIDENCE IT PRODUCES WILL SATISFY ANY PARTICULAR AUDITOR OR FRAMEWORK.
TO THE EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, INCLUDING LOSSES CAUSED BY A DEPLOY BEING BLOCKED OR ALLOWED, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US$100.
You will defend and indemnify us against third-party claims arising from Customer Data you submit or from your use of the Service in breach of these Terms or the law, and pay resulting damages and reasonable costs.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute relating to these Terms or the Service, and both parties consent to that jurisdiction. Nothing in this section limits rights you have under consumer protection laws that cannot be waived.
We may update these Terms. We will change the date at the top of this page, and for material changes we will email account owners at least 30 days before they take effect. If you keep using the Service after the changes take effect, you accept the new Terms. If you do not agree, you can close your workspace before then.
These Terms, together with the Privacy Policy and any order form or written agreement we sign with you, are the entire agreement between you and us about the Service. If a signed agreement conflicts with these Terms, the signed agreement wins. If any part of these Terms is unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
